Under the Ontario Business Corporations Act (OBCA), there is currently no Canadian residency requirement for directors of most Ontario corporations.

Yes. A director of an Ontario corporation must be at least 18 years of age.

There is generally no specific notice period required by law for a director to resign from an Ontario corporation. However, this may depend on the terms of any agreement or arrangement between the director and the corporation. A written resignation letter is typically used to document the resignation formally.

Yes. Director changes should generally be reported to the Ontario Business Registry within 15 days of the effective date of the change.

In such cases, the corporation may first need to amend its Articles of Incorporation before the new director can be validly appointed. Please note that additional government and service fees may apply for the amendment filing.

We generally complete the filing within 1–2 working days after receiving all required information and documents. Government processing times may vary.

Although corporate laws may permit the removal of a director by shareholder resolution in certain circumstances, we only process director resignation or removal filings where the outgoing director has provided their consent or signed resignation documentation.
